Description: Global stock plans are a different form of employee benefit because they are usually sponsored by the parent company issuer, rather than the employing company.  In a corporate transaction, whether a merger, acquisition or spin off, decisions about equity awards are often made at the parent company level without a full understanding of the global tax, securities, labor, tax or other implications. Human resource professionals and in-house counsel need to understand both the parent company plan and deal limitations effecting stock options and the local company's needs in order to preserve employee value without creating significant costs and administrative burden.  This session will provide an overview of the issues that need to be considered to make the transactions a success both for the company and the employees.
