For decades, Baker & McKenzie has played a leading role in many projects worldwide, both in established and emerging markets. We consistently rank high in independent surveys of advisers on privatised and privately financed projects, judged both by aggregate value and number of transactions. We are engaged in a broad spectrum of motorway and road projects, power sector projects, and mining transactions.
 
In our experience, major projects demand two distinct types of legal expertise:

  • Experience in international construction, finance and commercial law, and a good grasp of relevant technologies and industry practices.
  • An appreciation of the particular qualities of the country in which the project is located. This involves not only a theoretical knowledge of the legal system in that country, but also an understanding of the political, cultural and linguistic influences that are likely to affect the execution of the project. Personal contacts with government entities, financial institutions and other key players in the local business community are also important.

Baker & McKenzie's Projects Group is responsible for the firm's international project work. We offer sophisticated specialist legal skills and logistical backup essential for major project work. At the same time, we have an unrivaled multinational network of offices, located in almost every jurisdiction where privatized or privately financed project development is now under way.
 
In a typical cross-border project assignment, members of the Projects Group from one of our money center offices will work closely with representatives of the local office in the host country, providing you with comprehensive and integrated services. Transaction management and billing functions are performed by one responsible partner, giving you a single point of contact.

Recent Projects  
Current and recent projects include:

  • Advising Sanwa Bank and Banque Paribas as arrangers to the preferred bidder (a consortium comprising CEA, Sithe and Marubeni) in relation to Rades 350-500MW Independent Power Plant in Tunisia.
  • Acting for Promcepri, the Peruvian government concession agency, in relation to the privatization of eight ports in Peru, including the Port of Callao. Through our London and Caracas offices, we are advising on the privatization process, drafting and negotiating the concession terms and bid documents, assisting in the bid evaluation and selection program, and negotiating with the successful bidders.
  • Acting for the concessionaire in connection with the Cross-Israel Highway Project.
  • Advising Barclays Capital as lead lender in relation to the refinancing of and share transfer in the Refugio Gold Mine, Chile.
  • Advising Dresdner Bank AG in relation to the construction of the AMD Saxony Wafer Fabrication Plant and related design center in Dresden, Germany, including negotiating the loan, sponsor support and collateral documents, and arranging the project financing.
  • Advising Saudi Chevron Corp., one of the joint venture borrowers, on financing packages for the construction and operation of the Saudi Chevron Petrochemical Plant in Saudi Arabia.
  • Acting for Société Générale in relation to the debt financing of Panda Ethanol Inc.'s 100 million gallon-per-year ethanol facility. This deal was recently awarded 2006 North American Ethanol Deal of the Year by Project Finance Magazine.
