Corporate & Securities Lawyers Join Baker & McKenzie LLP in Dallas

 

Dallas, TX, January 14, 2008 – Baker & McKenzie LLP announced today that Ted S. Schweinfurth joined the Firm’s Dallas office as a Partner in its Corporate & Securities Practice Group.  Also joining the Firm with Mr. Schweinfurth is associate Dale Lisonbee.  They come to the Firm from Winstead, PC.

Mr. Schweinfurth assists corporate clients in the areas of mergers and acquisitions, formation and development, capital raising, private equity, securities offerings, securities law, hedge fund and general corporate.  He has significant experience representing early stage businesses in connection with corporate formation and development; entrepreneurs and emerging businesses in connection with raising private equity and venture capital; companies, institutions and individuals in connection with their compliance with state and federal securities laws; hedge funds in connection with fund formation, operation and registration under the Investment Advisers Act of 1940; and businesses in connection with general corporate law matters, including drafting and negotiating employment, joint venture, license and similar agreements, intellectual property protection and general corporate planning and development.

Mr. Schweinfurth received his J.D. from the University of Texas School of Law at Austin in 1988, and his B.A., cum laude with special honors, Plan II from the University of Texas at Austin in 1985.

Mr. Lisonbee represents entities in mergers and acquisitions with various structures.  He has  experience in drafting transaction documents, including purchase agreements, opinions, escrow agreements, bills of sale, assignments and stock powers.  He has represented privately held corporations in the issuance of various types of securities, including trust preferred stock, convertible preferred stock and subordinated debt securities, drafted and negotiated offering documents and opinions, and advised investors on a variety of investments in privately held entities.

Mr. Lisonbee received his J.D. from UCLA in 1999, and his B.A., magna cum laude, from Brigham Young University in 1996.
