North America Tax Practice

The North America Tax Practice Group (NATPG) is an integral part of Baker & McKenzie's Global Tax Practice Group, and has been providing international tax law advice to multinational corporations since 1949. The NATPG consists of over 180 lawyers practicing in the following offices: Chicago, Dallas, Houston, Miami, New York, Palo Alto, San Diego, San Francisco, Washington DC, London, Tokyo, Toronto and Zurich.


Baker & McKenzie has consistently been regarded as one of the premier international tax practices in the United States and other countries. Numerous NATPG lawyers are ranked among the world's best in international tax, transfer pricing, fringe benefits, tax litigation and other areas. The NATPG concentrates its tax practice in the following subpractice areas:

  • Tax planning - Advising US and foreign multinationals on international, corporate and partnership tax issues. The Firm acts as outside tax counsel, particularly on international tax issues, for a large number of the Fortune 500.
  • Tax controversy - Representing corporate clients in administrative tax disputes and litigation. Given the Firm's strong substantive expertise in international tax and transfer pricing, Baker & McKenzie has litigated a number of seminal cases in those areas. The Firm has extensive experience in tax controversies subject to the IRS Large Case and Coordinated Examination Programs.
  • Transfer pricing - Developing, implementing and defending transfer pricing policies for multinational clients. Baker & McKenzie is uniquely positioned to provide worldwide transfer pricing advice in establishing transfer prices, complying with US and foreign transfer pricing rules, and proving up the correctness of the client's transfer prices in advance pricing agreement or audit contexts.
  • Mergers and acquisitions - Advising on acquisition strategies and structures, conducting tax due diligence, drafting acquisition documentation, developing tax-efficient financing structures, and implementing post-acquisition reorganization strategies.   • Global tax minimization - Counseling US multinationals about planning and implementing a variety of tax strategies that reduce the amount of foreign taxes payable on a current basis, the amount of overseas income taxable in the United States, and the amount of US taxes payable when overseas profits are repatriated.
  • Global wealth management - Developing tax planning strategies for high net worth individuals with respect to their international investments, businesses and estate planning.   • Fringe benefits and employment taxation - Advising businesses on fringe benefits plans and executive compensation, as well as employment tax planning and compliance matters. The NATPG has the premier fringe benefits and employment tax practice in the United States.
  • State and local - Conducting comprehensive state and local tax minimization reviews and providing compliance advice. This subpractice group also represents multinational clients in state tax audits and litigation.
  • E-tax - Advising on foreign, Federal and state tax issues peculiar to e-commerce and high tech businesses. NATPG lawyers work closely with clients to formulate policy regarding the taxation of electronic commerce through the Organization for Economic Cooperation and Development ("OECD") and other bodies.
  • Passthroughs - Advising partnerships, limited liability companies, trusts, S corporations and other passthrough entities concerning the tax consequences of domestic and international transactions. The firm assists in the formation of, the drafting of documents with respect to, and tax planning for, passthrough entities formed by major corporations as well as those utilized by individuals and closely-held businesses.
  • Real estate transactions - Advising corporations, individuals and passthrough entities in connection with the taxation of real estate transactions, including sales, acquisitions and exchanges. The firm is one of the national leaders in advising clients with respect to like-kind exchanges and other methods of obtaining tax deferral on the disposition of real estate.
